Safety-Kleen, Heritage-Crystal Clean Reach Settlement
Elgin, Illinois, July 7th,
2003
Heritage-Crystal Clean (HCC) today announced that Safety-Kleen and HCC
have settled all outstanding legal matters between the two companies.
Since December 2001, a number of legal actions had been filed by the two
companies against one another or their employees, all of which are now settled,
including an antitrust action filed by HCC in January 2003.
In reaching the settlement, both companies deny any wrongdoing,
and agreed to immediately terminate all pending disputes, legal actions or
claims between them. Other provisions of the settlement include:
Agreement by HCC to withdraw its objection to Safety-Kleen's proposed plan of reorganization
Agreement that each party may compete vigorously to solicit the business of existing customers of the other
Agreement that neither party will make false, misleading, disparaging or defamatory statements about the other's products or services
Agreement to certain restrictions on hiring each other's former employees based on non-competition agreements, position and geography; and,
Agreement to attempt to resolve any future disputes through notice and mediation before taking legal action.
Both Safety-Kleen and HCC are satisfied with the settlement
